1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer", "you", or "your") and TalkDin Limited ("TalkDin", "we", "us", or "our"), a company registered in England and Wales under company number 16974205, with our registered office at 3rd Floor, 86-90 Paul Street, London, United Kingdom.

By accessing or using our AI-powered phone ordering system and related services (the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

TalkDin provides an AI-powered phone answering and order-taking system designed for restaurants and food service businesses. The Service includes:

  • AI voice assistant for answering customer calls
  • Automated order processing and management
  • Real-time dashboard for order tracking
  • Call recording, transcription, and analytics
  • Integration with telephony providers (Twilio, Vapi.ai)

3. Account Registration and Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into binding contracts
  • Provide accurate, current, and complete account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account.

4. Subscription Plans and Pricing

4.1 Subscription Tiers

We offer multiple subscription tiers with varying included call minutes. Current pricing is available on our website.

4.2 Billing

  • Subscriptions are billed monthly in advance
  • Payment is processed via Stripe
  • All prices are in British Pounds (GBP) and exclude VAT (which will be added where applicable)
  • Usage beyond included minutes will be charged at the overage rate specified in your plan

4.3 Price Changes

We reserve the right to modify our pricing with 30 days' notice. Price changes will not affect your current billing cycle.

4.4 Free Trial

We may offer a free trial period. No payment information is required during the trial. At the end of the trial, you will be charged unless you cancel before the trial period ends.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until then.

5.2 30-Day Money-Back Guarantee

If you are not satisfied with the Service, you may request a full refund within 30 days of your initial subscription. This guarantee applies only to your first payment and not to renewals.

5.3 No Refunds for Partial Periods

Except for the 30-day money-back guarantee, we do not provide refunds for partial subscription periods or unused minutes.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit harmful, offensive, or illegal content
  • Harass, abuse, or harm others
  • Impersonate any person or entity
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service for telemarketing, spam, or unsolicited communications
  • Reverse engineer, decompile, or disassemble the Service

7. Call Recording and Customer Privacy

7.1 Your Responsibilities

You acknowledge that the Service records phone calls for order processing. You are solely responsible for:

  • Complying with all applicable laws regarding call recording in your jurisdiction
  • Informing your customers that calls may be recorded
  • Obtaining any necessary consents from customers
  • Posting appropriate notices about call recording

7.2 Data Processing

We process call data as a data processor on your behalf. You remain the data controller responsible for compliance with UK GDPR and data protection laws.

8. Intellectual Property Rights

8.1 TalkDin's Rights

The Service, including all software, algorithms, designs, trademarks, and content, is owned by TalkDin and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

8.2 Your Content

You retain ownership of your menu data, customer information, and other content you provide. By using the Service, you grant us a license to use, process, and store this content solely to provide the Service to you.

8.3 Feedback

Any feedback, suggestions, or ideas you provide to us become our property, and we may use them without obligation to you.

9. Service Availability and Support

9.1 Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice when possible.

9.2 Support

Support is provided via email and chat during UK business hours. Response times vary by subscription tier.

9.3 Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

10. Limitation of Liability

To the maximum extent permitted by law:

  • We provide the Service "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, consequential, or special damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not responsible for lost orders, revenue, or business interruption
  • We are not liable for failures caused by third-party services (Twilio, Vapi.ai, etc.)

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded by English law

11. Indemnification

You agree to indemnify and hold TalkDin harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Your failure to comply with call recording regulations

12. Termination

12.1 Termination by You

You may terminate your account at any time by cancelling your subscription.

12.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity
  • Pose a security risk to the Service

12.3 Effect of Termination

Upon termination, your access to the Service will cease. We will retain your data for 90 days to allow for data export, after which it will be deleted in accordance with our Privacy Policy.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of England and Wales.

13.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13.3 Informal Resolution

14. Third-Party Services

The Service integrates with third-party providers including Vapi.ai, Twilio, Stripe, and Supabase. Your use of these services is subject to their respective terms and conditions. We are not responsible for the actions or policies of these third parties.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TalkDin.

15.2 Amendments

We may update these Terms from time to time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance.

15.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

15.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

15.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.6 Force Majeure

We are not liable for delays or failures in performance caused by circumstances beyond our reasonable control.
